Turn the Deal Guarantee Terms

Effective Date: July 15, 2026

These Guarantee Terms apply to qualifying Deal Review and Negotiation Service packages purchased directly from Turn the Deal Inc. on or after the Effective Date above.

These Guarantee Terms supplement the Turn the Deal Broker-Agent Client Agreement. If there is a conflict between these Guarantee Terms and the general cancellation or refund provisions of the Client Agreement, these Guarantee Terms will govern only in relation to eligibility for a guarantee refund. All other terms of the Client Agreement remain in effect.

1. Deal Review — Find-Something Guarantee

Our commitment

If our completed Deal Review does not identify at least one Qualifying Finding, Turn the Deal will refund the Deal Review service fee paid by the Client, together with the applicable taxes paid on that fee.

What is a Qualifying Finding?

A “Qualifying Finding” is a specific and documented observation that could reasonably help the Client strengthen the proposed transaction or protect the Client from a material cost, disadvantage or risk.

A Qualifying Finding may include:

  • A potentially unnecessary, excessive, duplicate or incorrectly described fee, charge, product or add-on.

  • A discrepancy involving the vehicle price, trade-in allowance, financing terms, incentives, taxes, payments or other transaction figures.

  • A specific opportunity to request improved pricing, terms, trade value or transaction structure.

  • A material term, condition, disclosure or cost that is missing, unclear or inconsistent with the information provided by the Client.

  • A specific concern that should be clarified or addressed before the Client proceeds.

  • A transaction-specific negotiation point, question or recommended response.

Generic car-buying information, a summary of information already clearly shown in the documents, minor typographical errors having no material effect, or general comments that do not relate specifically to the Client’s proposed transaction do not constitute a Qualifying Finding.

Confirmation that the proposed transaction appears reasonable or competitive, without an accompanying Qualifying Finding, does not by itself satisfy the Find-Something Guarantee.

Client requirements

The Find-Something Guarantee applies only where:

  • The Deal Review service fee has been paid in full.

  • The Client has provided complete, accurate and legible copies of all documents and information reasonably requested by Turn the Deal.

  • The documents relate to a genuine proposed vehicle transaction within the agreed scope of the Deal Review.

  • Turn the Deal has been permitted to complete the review and deliver its findings.

What the guarantee does not promise

The Find-Something Guarantee does not promise or guarantee that:

  • A dealership or seller will accept a recommendation or proposed change.

  • The Client will obtain a particular price, trade-in value, interest rate or financial result.

  • The Client will complete the vehicle transaction.

  • The vehicle is mechanically sound, suitable for the Client or free from undisclosed defects.

  • Every possible concern, error or savings opportunity will be discovered.

The review is based on the documents and information made available to Turn the Deal at the time the review is completed.

Exclusions

The Find-Something Guarantee does not apply where:

  • Information or documents supplied by the Client were incomplete, inaccurate, misleading or illegible.

  • The Client failed to disclose material information about the proposed transaction.

  • The transaction was signed, completed or materially changed before Turn the Deal could complete the review.

  • The dealership or seller changed the proposal after the review was completed.

  • The Client cancelled the service, prevented completion of the review or materially interfered with Turn the Deal’s ability to perform the service.

  • The requested work was outside the agreed scope of the Deal Review.

  • There is evidence of fraud, misrepresentation or abuse of the guarantee.

2. Negotiation Service — Fee-Back Savings Guarantee

Our commitment

Turn the Deal will compare the applicable Baseline Offer with the best Comparable Written Offer obtained through Turn the Deal’s negotiation work.

If the documented pre-tax Savings Amount is less than the pre-tax Negotiation Service fee paid by the Client, Turn the Deal will refund the Negotiation Service fee, together with the applicable taxes paid on that fee.

This is a full fee-back guarantee. It is not a refund of only the difference between the Savings Amount and the service fee.

The Client is not required to complete the vehicle purchase to qualify. However, the Comparable Written Offer must have been genuine and available for the Client to accept within the period stated by the dealership or seller.

Baseline Offer

The “Baseline Offer” is the lowest bona fide and sufficiently itemized written proposal available to the Client before Turn the Deal begins substantive negotiation for the applicable transaction.

Where the Client already has one or more written proposals, the lowest comparable proposal disclosed to Turn the Deal will be used.

Where the Client does not already have a written proposal, the Baseline Offer will ordinarily be the first bona fide and sufficiently itemized written proposal obtained from the dealership or seller before Turn the Deal presents a counteroffer or begins substantive negotiation.

The Client must disclose all existing quotes, discounts, offers, incentives and prior negotiations that could affect the Baseline Offer.

Comparable Written Offer

A “Comparable Written Offer” is a bona fide written and sufficiently itemized proposal obtained through Turn the Deal’s negotiation work that:

  • Was genuinely available for acceptance by the Client.

  • Relates to the same vehicle or a materially equivalent vehicle.

  • Uses substantially the same transaction structure and assumptions as the Baseline Offer.

  • Does not depend on undisclosed or materially different conditions.

A comparable transaction will ordinarily involve substantially the same year, make, model, trim, condition, equipment, mileage, purchase or lease structure, trade-in vehicle, financing assumptions and optional products.

If the Client materially changes the requested vehicle or transaction structure, Turn the Deal may establish a new Baseline Offer for the revised transaction.

Calculating the Savings Amount

The “Savings Amount” is the documented pre-tax financial improvement between the Baseline Offer and the best Comparable Written Offer obtained through Turn the Deal’s negotiation work.

The Savings Amount may include:

  • A reduction in the vehicle selling price.

  • A reduction or removal of a dealer fee, charge or add-on represented as required or included in the Baseline Offer.

  • An increase in the Client’s net trade-in allowance.

  • A verified rebate or incentive that was not included in the Baseline Offer and was subsequently applied to the Comparable Written Offer.

  • A reduction in documented financing costs where the amount financed, loan or lease term and other material financing assumptions remain substantially the same and the revised terms have been approved in writing.

The same financial improvement will not be counted more than once.

The Savings Amount does not include:

  • GST, PST or other tax savings resulting from a lower transaction price.

  • Differences caused by selecting a different or materially different vehicle.

  • Monthly-payment reductions caused only by changing the down payment, amortization period, lease structure, payment frequency or amount financed.

  • Optional products or services that were clearly optional and that the Client simply chose not to purchase.

  • Financing terms that have not been approved or confirmed in writing.

  • Insurance, registration, licensing, inspection, repair, transportation or other third-party costs.

  • Unverified rebates, incentives, credits or benefits.

  • Savings independently negotiated by the Client or another person after Turn the Deal’s negotiation work.

  • General market changes or manufacturer price changes that were not obtained through Turn the Deal’s work.

Client requirements

The Fee-Back Savings Guarantee applies only where:

  • The Negotiation Service fee has been paid in full.

  • The Client has provided complete and accurate information.

  • The Client has disclosed all existing offers and prior negotiations relevant to the transaction.

  • The Client has provided the authorization reasonably required for Turn the Deal to communicate and negotiate.

  • The Client has responded within a reasonable time to requests for information, instructions or decisions.

  • Turn the Deal has been given a reasonable opportunity to complete the agreed negotiation work.

  • The Client has not independently negotiated with the seller during the engagement without informing Turn the Deal.

  • The engagement has been completed in accordance with the Client Agreement.

Exclusions

The Fee-Back Savings Guarantee does not apply where:

  • The Client cancels or terminates the service before Turn the Deal completes the agreed negotiation work.

  • The Client materially changes the requested vehicle, budget, trade-in, financing structure or other transaction requirements.

  • The Client provides incomplete, inaccurate or misleading information.

  • The Client fails to disclose a lower existing offer or previous negotiation.

  • The Client or another person independently negotiates or changes the transaction in a way that prevents a reliable comparison.

  • An offer is changed or withdrawn because of inaccurate Client information, a material Client delay or the Client’s failure to satisfy a disclosed condition.

  • The Client is not eligible for a rebate, incentive, financing program or other condition included in an offer.

  • The transaction falls outside the agreed scope of the Negotiation Service.

  • There is evidence of fraud, misrepresentation or abuse of the guarantee.

3. Refund Process

Turn the Deal will normally assess guarantee eligibility when the applicable service is completed.

A Client who believes that a guarantee was not correctly applied must contact Turn the Deal in writing within 30 calendar days after receiving the final findings report or final negotiated offer. The request should identify the service purchased and include any relevant supporting documents.

If Turn the Deal confirms that the Client qualifies, the refund will be initiated within 10 business days. The time required for the refund to appear in the Client’s account may depend on the payment provider or financial institution.

Refunds will ordinarily be returned to the original payment method.

4. Maximum Refund

The maximum refund available under either guarantee is the applicable service fee actually paid by the Client, together with the applicable taxes paid on that fee.

A Client cannot receive more than one refund, credit or reimbursement for the same service fee. Any previous refund, discount, credit, payment reversal or chargeback relating to the service may be deducted from the amount otherwise payable.

5. Other Limitations

These guarantees relate only to the applicable Turn the Deal service fee.

Turn the Deal does not guarantee:

  • The availability of a particular vehicle.

  • Acceptance of an offer by a dealership or seller.

  • Credit or financing approval.

  • A particular interest rate, trade-in value or vehicle price.

  • The mechanical condition, safety, history or suitability of a vehicle.

  • That the Client will complete a vehicle purchase.

6. Relationship to the Client Agreement and Applicable Law

These guarantees are additional contractual commitments offered by Turn the Deal.

Nothing in these Guarantee Terms limits any right or remedy that cannot lawfully be waived or limited under applicable consumer-protection legislation.

Except for an applicable guarantee refund or another refund expressly required by the Client Agreement or applicable law, all service fees remain subject to the cancellation and refund provisions of the Client Agreement.

7. Applicable Version

The version of these Guarantee Terms in effect on the date the Client purchases the applicable service will apply to that engagement.

Turn the Deal will not retroactively reduce or remove a guarantee after the applicable service has been purchased.
